1. AGREEMENT TO TERMS

Welcome to DocuAsk! Our Terms of Use form a legally binding contract between you and SYNAPTIC INNOVATIONS PTE. By engaging with DocuAsk, you confirm and ensure that: (1) you will provide only truthful, accurate, and up-to-date information during registration and maintain its accuracy by making necessary updates; (2) you possess the legal capability to agree and abide by these Terms of Use; (3) you have reached the age of majority in your jurisdiction, allowing you to enter into this agreement; (4) your access to our Site will be through direct, human interactions without the aid of automated tools like bots or scripts, except when explicitly authorised; (5) the purpose of your site use will remain lawful and adhere to all relevant regulations, refraining from any illegal or unauthorised activities; and (6) your use will respect all applicable laws, ensuring no violations occur through your interaction with our platform.

Should any information you provide prove to be incorrect, outdated, or incomplete, we reserve the right to suspend or terminate your account. This action also applies to any use of the Site that defies these Terms, blocking both present and future platform access for the affected account.

  • Engage in any behaviour that directly competes with or undermines DocuAsk, including unauthorised commercial activities and/or sales, or the creation of products or services derived from or based on our content and services without prior consent.

Furthermore, you must refrain from engaging with, promoting, or facilitating activities related to illegal or harmful industries. This includes but is not limited to activities associated with gambling, illicit substances, unauthorised pharmaceuticals, cybercrime, or any content aimed at disrupting or undermining digital, physical, or mental security.

DocuAsk is deeply committed to upholding data security, privacy, and the integrity of our services, in alignment with international standards and regulations. 6. USER GENERATED CONTRIBUTIONS

At DocuAsk, we may encourage you to engage, share insights, and connect through various interactive features like chats, blogs, message boards, and forums. Our platform may offer the opportunity to contribute content, including texts, videos, audio files, images, graphics, comments, and other materials ("Contributions").

By sharing Contributions on DocuAsk, please be mindful that these may be accessible not only to our community but also to users across third-party websites. As we navigate this shared space, it's paramount that we respect and uphold the intellectual and privacy rights of everyone involved.

Your Commitments to Us and the Community:

  • Ownership and Permissions: You guarantee that you own or have obtained all necessary permissions for your Contributions and that you authorise DocuAsk and its users to engage with your materials in a way that's consistent with the intended use of our platform.
  • Consent for Use of Likeness: If your Contributions include identifiable individuals, you confirm that you've obtained explicit consent to use their likenesses for your contributions within DocuAsk.
  • Accuracy and Lawfulness: Your Contributions will not be misleading, involve unsolicited promotions, or violate any laws, including those concerning harassment, privacy, and child protection.
  • Respect and Decency: We stand against Contributions that mock, disparage, intimidate, or abuse anyone based on race, gender, national origin, sexual preference, or disability. Moreover, promoting violence or engaging in harassment through your Contributions is strictly prohibited.
  • Legal Compliance: You ensure that your Contributions comply with all applicable laws, regulations, and these Terms of Use, maintaining the integrity and security of our platform.

Violating these guidelines may lead to actions against your account, up to and including its termination, to protect our community and ensure DocuAsk remains a safe space for dialogue and discovery.

7. CONTRIBUTION LICENCE

When you share or post your contributions, such as texts, images, videos, or comments, on any part of our Site, you grant DocuAsk a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, modify, display, and distribute your contributions. This licence allows us to incorporate your contributions into our platform and make them accessible across various media forms for enhancing our services.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site. You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

However, it's important for you to understand that by sharing your contributions, you play a part in creating a positive and valuable space for all users. Thus, you should ensure that your contributions are respectful, accurate, and not in violation of any laws or rights of others. In doing so, you help us maintain the integrity and trustworthiness of our platform.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Site; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.

We reserve the right, but are not obligated, to monitor the contributions made on our platform. This means we might review, edit, or remove content that doesn't align with our community standards or legal obligations — all in our absolute discretion and without needing to notify you. Despite this, we do not actively monitor all contributions, and the responsibility for the content shared lies with the individual user.

8. SUBMISSIONS

By engaging with the DocuAsk platform and providing any form of input - be it questions, comments, suggestions, ideas, feedback, or other types of information (collectively referred to as "Submissions") - you understand and agree that these Submissions are not regarded as confidential. Once shared, these Submissions shall be considered the property of DocuAsk. We will have the full rights, including all intellectual property rights, to use, share, and act upon these Submissions in any lawful way that benefits the service, both for commercial reasons or otherwise, without the need for any form of acknowledgment or compensation to you.

When you make such Submissions, you affirm that the content is either your original work or you have the full authority to share it, thereby granting DocuAsk unrestricted use rights. It also means you'll not challenge or hold us accountable for any purported or actual infringement, misappropriation, or violation of any proprietary rights related to your Submissions.

In making a Submission, you give up any 'moral rights' you might have in it. This term "moral rights" refers to your ability to be credited as the author of the content and to object to any treatment of the content that could be deemed prejudicial to your honour or reputation. It's crucial to ensure you're comfortable with these terms before submitting your content to the platform.

9. INTERACTING WITH THIRD-PARTY CONTENT AND WEBSITES

You agree to hold DocuAsk harmless against any damages, losses, or liabilities arising from your engagement with Third-Party Websites or use of Third-Party Content.

If you access the Site from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Site, you are transferring your data to the United States, and you agree to have your data transferred to and processed in the United States.

12. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY

Notifications

To ensure your notification is addressed effectively, it must include:

  1. Your physical or electronic signature, representing you're authorised to act for the copyright owner of the allegedly infringed material.
  2. A detailed identification of the copyrighted work you believe has been infringed.
  3. Precise information about the material you claim is infringing, sufficiently detailed for us to locate it on our Site.
  4. Your contact information, including address, telephone number, and an email address, if available.
  5. A statement by you, made under penalty of perjury, asserting your belief that the disputed use of the material is not authorised by the copyright owner, its agent, or the law.
  6. A declaration that the information in your notification is accurate, and again under penalty of perjury, that you are authorised to act on behalf of the copyright owner.

Counter Notification

If you believe material you've posted to our Site was mistakenly removed because of a copyright notice, you have the right to send us a Counter Notification. Our Designated Copyright Agent's information below is where this should be directed. It's crucial to include the following in your Counter Notification for it to be valid under the DMCA:

  1. Identification of the material that was removed and where it was located on the Site before its removal.
  2. A statement indicating you consent to the jurisdiction of the Federal District Court for your area, or if outside the United States, for any judicial district in which DocuAsk may be found.
  3. A statement agreeing to accept service of process from the complainant.
  4. Your contact information, including your address, telephone number, and an email address.
  5. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled due to a mistake or misidentification.
  6. Your physical or electronic signature.

Upon receiving a Counter Notification containing all the elements listed above, we will restore the removed material unless we first receive notice from the original complainant that they have filed a lawsuit to restrain you from engaging in infringing activity related to the removed material. Remember, submitting a false Counter Notification could result in legal consequences, including potential damages liabilities.

13. TERM AND TERMINATION

Your access to and use of the DocuAsk platform is governed by these Terms of Use, which remain effective until ended by either you or DocuAsk. We aim to foster a safe and compliant environment for all users. However, circumstances may arise wherein we need to exercise our discretion to suspend or terminate access to our platform. This includes, but is not limited to, scenarios where there is a breach of these terms, any representation, warranty, or covenant, or violations of applicable laws and regulations.

Please note, DocuAsk reserves the right, without prior notice or liability, to deny access to the site or terminate services for any user. This may involve blocking IP addresses or removing user accounts and any associated content from our platform for reasons deemed necessary by us, including safeguarding our community or ensuring compliance with legal obligations.

If your account is terminated or suspended, creating a new account under any name - be it your own, another person's, or a fabricated identity - is strictly prohibited. Should such actions contravene our terms or legal requirements, DocuAsk may take appropriate legal action. This could include civil, criminal, and injunctive measures to protect our community and platform integrity.

14. MODIFICATIONS AND INTERRUPTIONS

At DocuAsk, we're continuously working to improve your experience with our platform. 15. GOVERNING LAW AND COMMITMENT TO GLOBAL COMPLIANCE

This choice of legal jurisdiction is made without prejudice to the principles of conflict of laws, meaning that we strive to ensure broad compatibility of our Terms with international legal standards, especially those concerning data protection and user privacy.

16. DISPUTE RESOLUTION

Informal Negotiations

To foster a quick and cost-effective resolution of any disagreements, issues, or claims arising from or related to these Terms of Use (jointly referred to as "Disputes"), you and DocuAsk (referred to individually as "Party" and collectively as "Parties") agree to initially attempt resolving any Dispute through informal discussions. This process is to last at least thirty (30) days and starts with one Party sending the other a written notice of the Dispute.

Binding Arbitration

Should informal negotiations fail to resolve any disputes ("Dispute"), except as explicitly excluded below, such Disputes shall be definitively settled through binding arbitration. By agreeing to these terms, you waive the right to bring your case to court, including the right to a trial by judge or jury.

Arbitration Process:

Arbitration will primarily proceed under the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules"), reflecting our incorporation and main operations base in Singapore. The SIAC Rules are accessible at: www.siac.org.sg.

For users residing outside of Singapore, where applicable and when mutually agreed upon by both parties involved in the dispute, arbitration may proceed under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), along with the AAA's Supplementary Procedures for Consumer Related Disputes, accessible at: www.adr.org. This option is provided to accommodate international users under specific circumstances that require consideration of their local jurisdiction's laws.

The costs for arbitration and any compensation due to the arbitrator will adhere to the rules of the selected arbitration institution. Arbitration may be conducted in-person, through document submissions, via phone calls, or online platforms, culminating in a written decision by the arbitrator, who will comply with applicable laws.

Venue and Law Application:

Unless otherwise required by the selected arbitration institution's rules or applicable law, arbitration shall take place in Singapore, adhering to SIAC Rules. This clause is integrated herein by reference.

Parties retain the right to seek legal avenues to enforce the arbitration agreement, halt proceedings pending the outcome of arbitration, or to support or challenge the arbitrator's decision in competent courts.

Jurisdiction for Non-Arbitrable Disputes:

Disputes that are not subject to the arbitration agreement will be resolved in the state and federal courts located in Singapore. Parties hereby agree to and waive any objections regarding venue and jurisdiction in such courts.

Time Limit for Claims:

No claim related to the Site shall be brought more than one (1) year after the cause of action arises. Should any part of this arbitration section be found unenforceable or illegal, the affected Disputes shall be adjudicated in competent courts within Singapore, with Parties consenting to those courts' jurisdiction.

Exclusions from Arbitration:

Disputes involving the enforcement or protection of intellectual property rights, allegations of theft, piracy, invasion of privacy, or unauthorised use, and those seeking injunctive relief from a court are excluded from the arbitration process.

This arbitration agreement is designed to ensure a timely and cost-effective resolution to disputes, upholding DocuAsk’s commitment to legal compliance and transparent engagement with our users. We continually strive to foster trust and confidence in our innovative platform.

17. UPDATING SITE CONTENT

At DocuAsk, we endeavour to provide accurate and up-to-date information on our website. Nevertheless, it is possible that the Site may occasionally contain typographical errors, inaccuracies, or omissions related to descriptions, pricing, availability, and other pertinent details. Recognizing the dynamic nature of our service and the possibility of unintentional errors, we assert our right to correct any inaccuracies or omissions and to amend or update information at any moment, without the necessity for prior notice to users.

It's crucial to note that some jurisdictions do not permit the limitation or exclusion of liability for incidental or consequential damages, or the exclusion of implied warranties. In instances requiring our response to claims where you're obliged to indemnify us, we reserve the right—and you hereby consent—to our lead in managing these claims at your cost. We commit to fair communication, providing you with timely notice of any such legal matters demanding your indemnification. Your cooperation is anticipated in contributing effectively to the defence against such claims.

Importantly, your interaction with DocuAsk creates no partnership, employment, or agency relationship. These Terms are neutrally drafted; hence, they shouldn't be interpreted unfavourably against us for having drafted them. By agreeing to these Terms, you waive any claims that might arise from the electronic format of this agreement or the method by which it has been executed by both parties.
